By accessing or using this Site, you confirm that you are at least 18 years of age and that you agree to comply with and be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, do not use this Site.

If you are accessing the Site on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

CodeAspen Solutions is an AI and automation consulting agency that provides services including, but not limited to:

• AI strategy and implementation consulting
• Custom automation and workflow development
• Data engineering, pipeline design, and integration
• Internal tool and application development
• AI agent and chatbot development
• Technology audits and assessments

The Site serves as a marketing and lead-generation platform. It provides information about our services and a contact form for prospective clients to request consultations.

These Terms govern your use of the Site, not the delivery of professional services. Any professional services engagement between you and CodeAspen Solutions will be governed by a separate written agreement — such as a Statement of Work (SOW), Master Service Agreement (MSA), or consulting agreement — that will be executed by both parties prior to the commencement of work.

In the event of a conflict between these Terms and the terms of a signed client engagement agreement, the client engagement agreement will control with respect to the services described therein.

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates any applicable federal, state, local, or international law or regulation
• Submit false, misleading, or fraudulent information through the contact form or any other means
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Site, the servers on which the Site is stored, or any server, computer, or database connected to the Site
• Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
• Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission
• Attack the Site via a denial-of-service attack or a distributed denial-of-service attack
• Otherwise attempt to interfere with the proper working of the Site

By submitting information through our contact form, you represent and warrant that:

• All information you provide is accurate, current, and complete
• You have the right to share any information you submit (including information about your company or organization)
• Your submission does not contain confidential or proprietary information of any third party that you are not authorized to share

Submitting a contact form does not create a client relationship or obligate CodeAspen Solutions to provide any services. We reserve the right to decline any inquiry at our sole discretion.

We aim to respond to inquiries within 24 hours during business days, but response time is not guaranteed.

A. Our Content

The Site and its entire contents, features, and functionality — including but not limited to all text, graphics, logos (including the CodeAspen Solutions wordmark, mountain-peak focal mark, and hex-frame design system), images, software, and the design, selection, and arrangement thereof — are owned by CodeAspen Solutions LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial informational purposes only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site except as permitted by these Terms.

B. Trademarks

"CodeAspen Solutions," "CodeAspen," the mountain-peak logo, and all related names, logos, product and service names, designs, and slogans are trademarks of CodeAspen Solutions LLC. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

C. Client Deliverables

Ownership of deliverables produced during client engagements is governed by the applicable client engagement agreement (e.g., SOW or MSA), not these Terms.

CodeAspen Solutions develops and integrates AI and automation systems for clients. The following disclosures apply in accordance with the Texas Responsible Artificial Intelligence Governance Act (TRAIGA) and other applicable laws:

• AI outputs are not guaranteed. Artificial intelligence systems produce probabilistic outputs that may be inaccurate, incomplete, or biased. AI-generated content, recommendations, code, or decisions should not be relied upon as the sole basis for safety-critical, legal, medical, financial, or other consequential decisions without independent human review and verification.
• Disclosure of AI interaction. Where our services include systems that interact directly with end users (such as chatbots, virtual assistants, or automated decision systems), we will disclose when an individual is interacting with an AI system, the system's purpose, and whether it makes consequential decisions — either directly in the user interface or in the applicable service documentation.
• Human oversight. We design AI systems with appropriate human-in-the-loop controls. The scope and nature of human oversight for any AI system we build will be defined in the applicable client engagement agreement.
• Third-party models. Our services may integrate third-party AI models and platforms. We do not control and are not responsible for the training data, outputs, or policies of third-party AI providers. Relevant third-party provider terms will be disclosed in the applicable engagement agreement.
• No discriminatory use. We do not develop or deploy AI systems for the purpose of unlawful discrimination, manipulation, or deception, as prohibited under TRAIGA and applicable law.

To the fullest extent permitted by applicable law, CodeAspen Solutions LLC disclaims all warranties, express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• That the Site will be uninterrupted, timely, secure, or error-free
• That the information or content on the Site is accurate, reliable, complete, or current
• That defects will be corrected
• That the Site or the servers that make it available are free of viruses or other harmful components

Information presented on the Site — including descriptions of services, industry capabilities, and case studies — is for informational purposes only and does not constitute professional advice. You should consult appropriate professionals for advice specific to your situation.

This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if CodeAspen Solutions has been advised of the possibility of such damages.

In no event shall our total aggregate liability to you for all claims arising out of or related to your use of the Site exceed one hundred U.S. dollars ($100.00).

Liability for professional services rendered under a client engagement agreement is governed solely by that agreement, not by these Terms.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

You agree to indemnify, defend, and hold harmless CodeAspen Solutions LLC and its owner, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of or access to the Site
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any third-party right, including any intellectual property or privacy right
• Any content or information you submit through the Site

A. Governing Law

These Terms and any dispute arising out of or related to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law provisions.

B. Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in Harris County, Texas. You consent to the personal jurisdiction and venue of such courts and waive any objection to the convenience of such forum.

C. Informal Resolution

Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at daniyal@codeaspen.com. We will attempt to resolve the dispute informally within 30 days of receiving your notice. If the dispute is not resolved within 30 days, either party may proceed with formal legal action as described above.

D. Waiver of Class Action

To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Site will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect your personal information.

Any information you share with us through the contact form or during preliminary discussions is treated with reasonable care. However, formal confidentiality obligations arise only under a signed non-disclosure agreement (NDA) or client engagement agreement.

If you need to share sensitive or proprietary information during initial discussions, we recommend requesting an NDA before doing so.

CodeAspen Solutions shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, government actions, cyberattacks, internet or telecommunications failures, or third-party service provider outages.

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

These Terms, together with the Privacy Policy and any other legal notices published on the Site, constitute the entire agreement between you and CodeAspen Solutions LLC regarding your use of the Site. These Terms supersede any prior agreements, communications, or proposals (whether oral, written, or electronic) between you and us regarding the Site.

For the avoidance of doubt, these Terms do not supersede or replace any signed client engagement agreement, MSA, SOW, or NDA.

No waiver by CodeAspen Solutions of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

We reserve the right to modify these Terms at any time. When we make changes, we will revise the "Last Updated" date at the top of this page. For material changes, we will provide additional notice (such as a prominent notice on the Site).

Your continued use of the Site following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you should discontinue using the Site.
